1. Acceptance of Terms
By engaging GravixGame for game development services, you ("Client") agree to be bound by these Terms of Service. These terms, together with your Project Scope Document and any applicable Statement of Work, constitute the entire agreement between you and GravixGame.
2. Services
GravixGame provides game development services including but not limited to: game design, 2D and 3D engineering, live-ops support, quality assurance, store submission assistance, white-label reskinning of catalog titles, and custom game development. The specific scope, deliverables, timeline, and fees for each project are defined in a mutually signed Project Scope Document.
3. Intellectual Property
Custom builds: Upon full payment of all fees, the Client owns all source code, art assets, and game design documents created specifically for the Client's project. GravixGame retains a non-exclusive, perpetual license to use generic engine components, utilities, and frameworks developed during the project for future work.
Catalog titles (white-label): The Client receives a perpetual, worldwide license to publish and operate the white-labeled game under their own branding. The underlying game engine, core mechanics, and server infrastructure remain the property of GravixGame. The Client owns their branding assets, localization files, and any custom features commissioned beyond the base catalog title.
Third-party components: Any third-party libraries, SDKs, or middleware integrated into the project are subject to their respective licenses. GravixGame will disclose all third-party dependencies in the Project Scope Document.
4. Payment Terms
Payment schedules are defined in the Project Scope Document. Typical terms:
- Fixed-price packages (Indie Spark, Pro Launch): 50% upon contract signing, 50% upon delivery and acceptance.
- Studio Scale (custom): Milestone-based payments as defined in the Statement of Work, typically 30% upfront, with subsequent payments tied to deliverable acceptance.
- All invoices are payable within 15 calendar days of issuance.
- Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
5. Delivery and Acceptance
GravixGame will deliver builds according to the timeline in the Project Scope Document. The Client has 10 business days from delivery to test and either accept or provide a written list of defects. If no response is received within 10 business days, the deliverable is deemed accepted. GravixGame will remedy reported defects at no additional cost if they fall within the agreed scope.
6. Limitation of Liability
To the maximum extent permitted by law, GravixGame's total liability for any claims arising from a project shall not exceed the total fees paid by the Client for that project. GravixGame shall not be liable for indirect, consequential, or incidental damages, including lost revenue or profits. GravixGame makes no guarantees regarding app store approval, user acquisition, or revenue generation.
7. Confidentiality
Both parties agree to keep confidential all non-public information shared during the project, including game concepts, business plans, user data, and technical specifications. This obligation survives termination of the agreement for 3 years.
8. Termination
Either party may terminate a project with 30 days' written notice. Upon termination, the Client pays for all completed and accepted work up to the termination date. GravixGame delivers all work product paid for to date. For fixed-price packages, the upfront payment is non-refundable if termination occurs after work has commenced.
9. Warranty
GravixGame warrants that deliverables will conform to the specifications in the Project Scope Document for a period of 30 days after acceptance. During this warranty period, GravixGame will fix reported defects at no charge. This warranty does not cover issues arising from Client modifications, third-party integrations not performed by GravixGame, or platform OS updates released after delivery.
10. Governing Law
These Terms are governed by the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Travis County, Texas.
